Step 1 – Acquire the Rental Application

Begin by acquiring the rental application. Ensure the tenant has provided all the requested details. Once you obtain this document, you can continue with the subsequent steps to verify the information.

Step 2 – Verify the Business With the State

All 50 states have a specific office, like a Secretary of State, with reputable businesses on file. Ensure your applicant’s business is in good standing with the state.

Step 3 – Look Up the Business’s PAYDEX Score

Look up the business’s credit score, which is a risk and creditworthiness score a third-party company assigns to a business owner or principal. The following companies (and more) provide business credit scores:

  • Dun & Bradstreet

Dun & Bradstreet is popular in the business credit scoring industry, and it assigns PAYDEX scores that range from 1 to 100 based on past payment performance and creditworthiness. Below is a breakdown of what each score range represents:

  • 0-49. High risk of late payment (an average of 30 to 120 days beyond terms)
  • 50-79. Medium risk of late payment (average of 30 or fewer days beyond terms)
  • 80-100. Low risk of late payment (average of prompt to 30 days within terms)

Step 4 – Conduct a Personal Credit Check

While it’s important to run a business credit check to understand the company’s financials better, you can also benefit from conducting a personal credit check of the business owner. Personal credit checks produce a score between 300 to 850. Ideally, you should consider tenants with a personal credit score of at least 700.

Obtain a personal credit score from one of the three major credit reporting bureaus, which are Transunion , Experian , and Equifax .

Step 5 – Contact References

As the landlord, you can verify the information a potential tenant provides by contacting the references they give. Consider contacting them by phone instead of via email for added legitimacy.

If you have to contact a bank to verify financial information, the bank may request the applicant’s consent before it provides sensitive financial information.

Step 6 – Obtain a Personal Guarantee

Confirm that the tenant will pay the lease regardless if their business succeeds with a personal guarantee. This statement affirms the tenant will keep paying the lease until the agreed-upon termination date.

Step 7 – Decide on the Tenant

Using the information from the previous steps, select a final tenant who has a strong likelihood to pay rent on time for the duration of the entire lease. Notify the tenant with a rental application approval letter . Then, you can start negotiating a lease with your tenant.

You should send a rejection letter with the reasons for the denial to all applicants you decline. You must also tell the tenant if you take an adverse action due to the applicant’s background check [1] . Examples of adverse action include:

Authorization to Perform a Credit or Background Check

The Fair Credit Reporting Act (FCRA) requires you to obtain permission before performing a credit or background check on any applicant. You can only use the background or credit check to evaluate the application.

To meet authorization requirements, use a  background and credit check authorization form to request the applicant’s name, date of birth, social security number, driver’s license number, and address. The form should include a signed and dated statement authorizing you to conduct the credit check.

Step 1 – Fill in Basic Information About the Property

A business rental application form needs to summarize basic information about the property the landlord is renting:

  • Date of Application
  • Landlord Name
  • Property Address
  • Property Square Footage

Step 2 – Enter Business Applicant Information

The next section of a commercial property application addresses the applicant’s basic information:

  • Business name
  • DBA name (if applicable)
  • Type of entity (Corporation, LLC, Partnership, Sole Proprietorship, Other)
  • Date of business formation
  • State of business formation
  • Federal Employer Identification Number (EIN) or Tax Identification Number

It would be best if you also used this section to gather information about the business’s primary location (place of business) and contact information:

  • Office address
  • Business phone number
  • Business email address

Remember to ask for the length of time the business has been at its current address (physical location).

Additionally, ask for the following information to get a better idea of how the business operates:

  • Business industry or a description of the business
  • Proposed use of premises
  • Number of years in business
  • Gross annual revenue
  • Other business locations

Step 3 – Write the Name of the Person Signing the Lease/Individual Owner

The person (or persons) who will sign the lease agreement (often the business owner or owners) must provide their personal information on a commercial lease application. This identifying information helps the landlord conduct any credit and background checks necessary to determine risk and creditworthiness.

The following is what you should ask of each person legally responsible for entering into contracts for the business:

  • Position title
  • Date of birth
  • Social Security number
  • Personal address
  • Personal phone number
  • Personal email address
  • Driver’s license number and state of issue

Step 4 – Identify the Name of the Person Guaranteeing the Lease

Landlords often ask for guarantors on a commercial lease. This person agrees to fulfill the primary debtholder’s contractual obligations should the debtholder fail to do so.

You may request more than one person to guarantee the lease. Collect the following information for each guarantor:

  • Business title (if applicable)

Step 5 – Collect Bank References

Bank references are bank managers’ written opinions of their customer’s (your applicant’s) financial stability and creditworthiness.

On a business lease application form, gather the information necessary to contact the potential tenant’s banking institution:

  • Bank contact name and title
  • Bank address
  • Bank phone number
  • Bank email address
  • Account type and number

Request bank references for at least two accounts, but you can request more.

Step 6 – Gather Business and Credit References

Business and credit references are companies or individuals who can vouch for prospective tenants’ business aptitude and ability to make timely lease payments.

When writing your application, request the following business and credit reference information:

  • Title (if applicable)
  • Business address
  • Relationship to applicant
  • Phone number
  • Email address

Always ask for at least two credit or business references on your application.

Step 7 – Ask for Personal References

Personal references shed light on your applicant’s character .

Request at least two personal references and gather the following from each:

Step 8 – Get Lease History

A commercial lease history is a list of properties the business previously rented. If the applicant owned all prior places of occupancy, ask for addresses of real estate ownership. Also, ask if the business entity is paying rent on commercial real estate.

Collect this information for as many years as you see fit to help establish business stability. If the business rented property before applying for your space, contact the previous landlords to verify the applicant fulfilled all lease obligations.

Ask the applicant to provide the following:

  • Current business address
  • Dates of occupancy for current address
  • Reason for leaving current address
  • Whether the applicant owns or rents at its current location
  • Monthly rent/mortgage payment
  • Landlord/mortgage company and contact name
  • Landlord/mortgage company phone number
  • Landlord/mortgage company email address

Step 9 – Enter Assets and Sources of Income

Your applicant should provide information on assets and income sources for consideration in their application.

Request the following:

  • Business assets and their value
  • Sources of income
  • The amount of money brought in monthly from each income source

Step 10 – Fill in Creditors/Liabilities

A business’s liabilities are losses, ongoing obligations, debt, and continued operating costs. Creditors are people or companies to which the applicant owes money.

Asking for a list of creditors and liabilities helps paint a picture of a potential tenant’s ability to pay rent.

Ask for the name of all creditors and the amount due to each applicant listed on the commercial lease application.

Step 11 – Identify Other Information to Collect

You can write other questions on your lease application to gauge whether the applicant will be a good tenant.

Ask if the applicant or any principal, officer, or partner has:

  • Been evicted
  • Breached a lease agreement
  • Been sued for nonpayment of rent
  • Been involved in other litigation
  • Declared bankruptcy

If the applicant replies “yes” to any of the above questions, require an explanation.

Step 12 – Ask for Additional Documents

  • Landlords use additional documents, including bank statements and financial reports, to verify assets and liabilities and to discern the business’s stability and creditworthiness:
  • Business financial statements, profit and loss statements, balance sheet
  • Personal financial statements
  • Bank account statements
  • Tax returns (business and personal)
  • Business plan
  • Credit report (business and personal)

Step 13 – Leave Room for Additional Comments

  • Leave space on your business lease application form for additional comments and requirements related to the approval of the commercial lease.

Step 14 – Add an Authorization Statement

A commercial property lease application should include language that states the prospective tenant provides authorization to the landlord to verify all information.

This authorization also gives the property owner the right to conduct credit and background checks as appropriate.

  • Require the applicant’s signature (and date) on your lease application to confirm such authorization.

What can I not ask on a business lease application form?

Landlords cannot ask any questions on a business lease application that discriminate based on the following:

  • National origin
  • Sex or gender
  • Sexual orientation
  • Familial status
  • Military or veteran status
  • Receipt of public assistance or housing subsidies

Furthermore, property owners must adhere to applicable state and federal laws regarding applications and credit reports.

The usable square footage is the area where a business can conduct its operations, accommodate customers and employees, and set up equipment. It’s the functional and practical space available for specific pursuits. It excludes space that’s unusable due to building features or architectural limitations.

A commercial rental application is an application form prepared by a landlord or property manager for potential tenants to fill out. This form is used when the potential tenancy is at a commercial property. Due to the added complexity of most commercial properties, this type of rental application can be overwhelming.

Still, this document needs to be accurate because it begins the business relationship between landlord and tenant. Additionally, it is a way to verify the creditworthiness of the business, as well as their potential for operating successfully. Principal backers must also be identified.

Essentially, you are gathering enough information to determine whether or not the applying business is worth the financial risk of signing on as a commercial tenant.

How Residential and Commercial Leases Differ

If you are a landlord that is experienced in residential leases, you may be wondering how that experience will help you deal with commercial leases. While there are, of course, similarities in the way that contract lease law works in both fields, there are some major differences:

  • Fewer Tenant Protections: While residential lease laws are often said to favor tenants, that is rarely the case for commercial leases. There are few consumer protections on commercial leases, so tenants may be very thorough and weary when reviewing their options.
  • Binding for a Long Time: While residential leases are relatively short-term and easy to break, that is not the case for commercial leases. Usually, they are for a minimum of three years and have a substantial amount of financial risk.
  • Negotiations: Because of the complexities involved in the renting out of commercial spaces (especially those with common areas), there is usually a lot more negotiation and flexibility when figuring out commercial lease terms. Whereas residential tenants might have immediately accepted your contract as is, that is not likely to happen with commercial tenants.

Types of Commercial Lease Agreements

While you do not need to know the type of lease agreement that you will be using on a commercial property when preparing an application, it can be helpful to have a plan in mind about how you want to rent it out so that this information can be conveyed in the application as appropriate.

There are four main types of commercial leases:

  • Gross Lease: all operating expenses are included in rent
  • Net Lease: operating expenses are not included and will be prorated
  • Modified Gross Lease: a mix between gross and net in which the tenant takes on certain aspects of operating costs only
  • Percentage Lease: pays rent plus a percentage of gross revenue of what the business makes

This knowledge can help you have a clearer picture about the expectations you have for a commercial tenant, so figuring out your preferred rental lease type before you create the application form is a great idea.

If you would like to rent any part of one of your properties to someone who will run a business on that part of the property, you need to use a commercial rental application to choose your tenant.

Often, the businesses that may be filling your spaces include:

  • Factories or warehouses
  • Retail businesses
  • Offices or companies
  • Childcare facilities
  • Hotels or lodgings
  • Medical clinic
  • Restaurants
  • Shopping mall store or kiosk

Anytime that you have one of these properties available to rent, you should prepare the appropriate commercial lease application form to find the right tenant for your property.

Basic Company Information

First, you’ll want to collect the following basic info:

  • Company name
  • Main office address
  • Corporate number and employer ID
  • Type of company
  • Year established
  • Type of business
  • Number of employees

With this information, you will have a basic idea of what the company is, how they operate, and what type of business they would be operating on your property. This is important for your property management responsibilities.

Will the business fit with the property type? Will it fit with your goals for the property? Can you envision a good partnership with their business type? All of these questions can begin to be answered with this basic information.

Verifying Company Details

The company’s corporate number and Employer ID code should be cross-referenced with the state. By calling your state’s business bureau, you can ensure that the company is in good standing with the state in things such as taxes.

Additionally, this information will give you the ability to run a company credit check. The company credit check will give you what is called a PAYDEX score, which represents the business’s historical ability to pay. The higher the PAYDEX score, the better. You will want to use this information to make your decision.

Gross Annual Revenue

Contact person(s).

Gathering the name and phone numbers of the main contacts for the company is important so that you can quickly get answers to any questions that you may have about confusing or missing information on the application.

Additionally, being able to reach the contact person(s) will help you begin to build a business relationship with them.

Commercial Rental History

Asking about their past rental history or where they are currently renting from can help you to get an idea of the types of locations that their business has operated in. Additionally, you can ask them about why they decided to move on from that location. With this info, you can find out if your property fits their business.

You also will want to find out who their previous property manager was. Be sure to call their contact number and ask for a basic confirmation of if they were based there and if they paid rent in a timely manner. This can help you get a sense for how they work with landlords, which will, in turn, help you decide about their application.

It would help if you also asked for how much the monthly rent was at previously commercial rental locations. Understanding how much they were paying and how much their business has grown since that time will help you to figure out whether or not they will be able to reasonably afford rent and operating costs as necessary at your location.

Banking Reference

Another important set of data that you need to gather is their banking reference. While nobody wants to assume that applicants for their commercial properties are lying to you, it’s better to be able to confirm whether or not the business is legitimate.

Once you have the banking reference and the business’s contact person has sent an approval letter to the bank, you will be able to get an idea from the bank about whether or not they believe it would be wise to approve their application.

You cannot get this information without permission. Additionally, it is helpful to remember that the banking reference is only part of the larger picture of their business. Whether or not the bank finds them to have the appropriate money in the account, the revenue, credit, and business plan are also important factors to consider.

Your application should have a section dedicated to collecting the names, social security numbers, birthdates, and addresses of all principals backing the business’s lease. This information will be used if they will be using a personal guarantee to back the lease, and it will also be used to run personal background checks on the principals.

Personal Guarantee

If the business itself hasn’t sold you on the risk of accepting the application, you may want to consider accepting a personal guarantee from one or more of the principals if they have strong credit.

A personal guarantee ensures that even if something happens to the business, the principal(s) will continue to pay the lease until the lease period is up.

Credit References

In this section, applicants should be asked to provide at least two forms of established credit history for the business. This could be in the form of a credit card, loan, or any other credit-building establishment.

Gathering this information allows you to find out about the business’s established creditworthiness. While credit can always be improved, the business’s credit history can tell you something about how they conduct themselves. If the credit turns out to be worse than you expected, you may want to take their application under the magnifying glass one more time.

Credit Authorizations

In order to run the previously mentioned credit checks on the principals of the business, you will need clear authorization from them. This section of the lease application will give you permission to use a third-party service to run personal credit checks on each of the principals.

On average, most commercial landlords prefer that all personal credit checks for commercial tenants come back with a minimum score of 700. While this is higher than you might be used to looking for if you previously managed residential properties, commercial properties tend to carry more risk and liability, so a higher amount of credit is required.

In addition to preparing this rental application, you will also want to make sure that you are checking out the information that you gather. With the names and permissions that you received, you should run both a business credit check and a personal credit check on the owners.

The application sets you up to quickly and easily decide about the trustworthiness of this potential commercial tenant. All of the information that you need to verify or look into can be found in the application itself, so you should be able to do your research and make a decision quickly.

How To Write A Business Letter Of Intent To Rent Or Lease A Space

If you’re interested in putting up a business inside a mall, the first thing that the mall administration will ask from you is to submit a business Letter of Intent (LOI) .

A Letter of Intent is not a document we often see. That’s why most entrepreneurs don’t know what to write inside it.

Some might also ask, how should it be written? Or, is there a correct template or layout for making a Business Letter of Intent?

What is a Letter of Intent?

Before I give you the answer to these questions, let me first share with you what a Letter of Intent is according to Wikipedia. They have the simplest definition that I found online.

“A Letter of Intent or LOI is a document outlining an agreement between two or more parties before the agreement is finalized.

The concept is similar to the so-called heads of agreement. Such agreements may be Asset Purchase Agreements, Share Purchase Agreements, Joint-Venture Agreements, and overall all Agreements which aim at closing a financially large deal.”

That really sounds so formal, don’t you think? However, there’s really no reason for you to be afraid of getting your LOI wrong.

Although it does usually resemble a contract, it is most of the time, non-binding . This letter is often just issued to initiate a formal business transaction.

What’s inside a Letter of Intent?

For renting or leasing a space inside a mall or other commercial space, a Letter of Intent would contain the following information:

  • A statement saying your intent to lease a space inside the mall.
  • A description of your business including it’s basic concept, the business model it follows and a brief background and history.
  • A list of your products and services which should include pricing , merchandise packaging design and a description of your target market.
  • Your space, utilities and manpower requirements including the types of equipment you’ll be using and the number of employees you’ll have.
  • If there’s any, it would also be good to show pictures of your other branches or stores.
  • Your contact details and the best schedule for you to have a meeting

Before writing your Letter of Intent, it might help if you can ask the administration if they have an LOI template that you can just follow.

They could also provide samples that was submitted to them by past lessees. If not, do ask them what specific details they need stated in your LOI.

To help you with writing your Letter of Intent, here’s a very simple LOI template which you can use if you’re planning to rent or lease a space in a mall for your business.

XYZ Foods would like to present this Letter of Intent to signify our interest in leasing a commercial space inside ABC Mall.

We are the business behind the food cart, W Burgers, which has been selling gourmet hamburgers since 2004. Our products include a variety of hamburger sandwiches and burger rice meals. We also sell ice cold beverages.

Currently, our burger sandwiches and rice meals sell for P80 each. Our clients are usually young professionals who order our food as packed meals for lunch or dinner.

The W Burger food cart that we plan to put up would require at least 6 square meters and a power outlet for a cash register, a small freezer, a rice cooker, a soda vendo machine and a gas operated frying griddle.

The food cart would be manned by two employees.

We already have 5 branches located in various commercial areas in the city but this is our first venture in putting up a branch inside a mall. Attached are the photos of our existing branches.

We believe that our food cart complements the business concept of ABC Mall because we cater to the same target market.

A letter of intent is as essential tools for investing. It’s a great way to break the ice on a negotiation. It’s always surprising how few people use them! I know if a potential client is talking about it, it’s probably a safe bet that this is not their first time around the block 🙂

Noteworthy though…a letter of intent can be much longer than this also, and I highly encourage anyone using one to still have it drafted by your attorney. ESPECIALLY the simple stuff…that’s where it’s easy to screw things up!

Thanks for this sample. It is very helpful for non-lawyers like me. I just would like to point out a very minor error though. In the last paragraph, the correct word to use would be “complement,” not “compliment”:

“We believe that our food cart compliments the business concept of ABC Mall because we cater to the same target market.”

Compliment with “i” is when you praise or say nice things about someone or something. Ex. “Your mother is a nice lady” is a compliment. Or “Your performance was awesome” is a compliment.

Complement, on the other hand, means to enhance something or go well with something else, which is the intent in the case of your sentence. Ex. “The cashew nuts were an excellent complement for the soup.”

In other words, the cashew nuts go well with the soup, or in your example, your food cart goes well with the business concept of ABC Mall because you both cater to the same target market. Thus the need to use “complement” with “e”.

A rental application form helps a landlord choose a prospective tenant who is well suited to rent a particular property. The form requests personal and employment information plus consent for a credit check (sometimes called a consumer report). Applications often collect a non-refundable fee, commonly equal to the cost of getting the relevant screening reports.

Quick Guide To Screen a Tenant

While every rental application and situation are different, the following steps describe a process that will cover most elements of a responsible tenant screening:

1. Pre-Screen

Provide the tenant with pre-screening questions, such as the following:

  • What is the target move-in date?
  • How many people will be living on the rental property?
  • What pets will be living on the property, if any?
  • How long was residence at the previous address?
  • Are there any issues with signing a lease of one year or more?
  • What prompted the move?

2. Showings

Show the rental unit and meet potential tenants.

3. Distribute and Collect Applications

Provide interested tenants with a rental application. When completed, collect rental applications ( must include signed consent and acknowledgement!), plus fees.

4. Screening: Third-Party Services

Perform a credit check and/or criminal background check using a tenant screening service such as TenantAlert , MyRental , or LeaseRunner (typical cost of $25-$75 depending on service and features)

5. Screening: Application References

Conduct reference checks with the past landlords or employers of applicants, asking questions such as the following:

  • Would you rent to this tenant again?
  • How many rent payments has the tenant missed, if any?
  • What was the tenant paying for monthly rent?
  • How well did the tenant maintain clean and undamaged conditions on the property?
  • Did the tenant ever violate the lease or receive notice about potentially doing so?

6. Approve or Deny Applications

Review and make a decision, ideally accepting multiple applications on a first-come, first-serve basis approved off the following criteria:

  • Rental History – landlords often require a co-signer for the lease if there’s less than a year of good rental history available
  • Rent to Income Ratio – rent above 30% of a potential tenant’s gross income increases risk of rent default
  • Credit Score – many landlords set a minimum credit score in the 600-670 range
  • Fact Check on Rental Application  – false information on an application is grounds for immediate rejection, while landlords may favor applicants who disclose in an honest and proactive way

7. Explain Outcomes

Respond to all applicants in writing, explaining the grounds for denial. This is not a legal requirement in most places, but significantly reduces the risk of legal complaint and documents the landlord’s non-discriminatory reasons for rejecting any particular application.

Rental Application Laws

Some state laws specify disclosure or retention requirements for rental applications, including the following:

  • Colorado – landlords must provide an itemized list of actual and anticipated costs for screening a rental application. If the fee amount is based on an average, this must include the method for calculating the fee. [1]
  • Delaware – landlords must keep applications on file for six months. This includes denied applications.
  • Texas – landlords must describe their tenant selection criteria to tenants. This must include grounds the landlord uses for denying an application. [2]
  • Type of information that will be used for the screening (credit reports, background checks, etc.)
  • Contact information for the consumer reporting agency used by the landlord
  • Notice of whether the landlord accepts recent screening reports provided by the tenant
  • Criteria the landlord uses for rejecting applications
  • Copy of the D.C. Tenant Bill of Rights
  • Amount of periodic rent
  • Amount of application fee and security deposit
  • Rent control status (or exemption status)
  • Disclosure of existing housing code violations on the property, if any
  • Disclosure of any pending conversion to condominiums or co-op
  • Property’s ownership and business license information
  • 3-year history of “mold contamination” or proof of remediation

Prohibitions on Rental Application Questions

Federal law restricts the information a landlord can request on a rental application. In general, it’s illegal under the Federal Fair Housing Act to screen tenants by asking for information about the following, or using these as a basis for approving or denying an application:

  • National origin (nationality)
  • Sex (including sexual orientation and gender identity )
  • Familial status (i.e., having or not having children)
  • Disability (whether physical or mental)

There are narrow exemptions from the Fair Housing Act for things like senior housing or certain very-small scale landlords, but local regulations may still apply. Local laws also cover categories not protected by federal law, such as immigration or citizenship status. Always consult an attorney before attempting to ignore local or federal requirements.

Legally Denying Applicants

Landlords can legally decline an application for the following reasons:

  • Incomplete or falsified application
  • Insufficient credit score (must be the same standard for all applicants)
  • Insufficient income
  • Problematic rental history or references
  • Criminal record (if the landlord doesn’t use a “blanket policy”)
  • Sex offender registry status
  • Property incompatibility (e.g., an application for seven people to move into a single-occupancy unit)

Additional State Requirements

Individual states may also have laws which add requirements regarding rental application approval or denial, such as:

  • Colorado  – application denials must be explained in writing to unsuccessful applicants within 20 days of the decision to deny
  • Florida  – landlords must inform active-duty members of the military and Florida National Guard within seven days of application whether their rental application is accepted
  • Minnesota  – application denials must be explained to unsuccessful applicants within 14 days of the decision to deny
  • New York  – landlords cannot deny an application on the basis of an applicant’s involvement as a party in a landlord/tenant lawsuit or dispute action
  • Texas  – applications must receive notice of acceptance within seven days (or the date the landlord accepts the application deposit), or else automatically are rejected
  • Washington  – application denials and “approved with conditions” acceptance must be explained to applicants
  • Wisconsin  – landlords must accept or deny applications within three days of receiving an application fee, unless a longer time (up to 21 days) is in writing

False or Misleading Information on a Rental Application

Landlords have a legal right to expect that tenants will answer rental applications in a truthful and honest way. False or misleading information on a rental application is usually grounds for immediate denial of that application. Some states also provide legal consequences for deceptive applicants, including the following:

  • Alabama  – landlords can evict tenants who put false or misleading information on their rental application
  • Number of occupants
  • Tenant Social Security number
  • Employment status
  • Kansas – tenants face fines or even jail for falsifying information on a rental application
  • Minnesota  – landlords can charge a $500 fine for tenants who falsify or omit information on the rental application

Landlords in most situations can provide tenants with a notice to quit for providing false or misleading information on rental application.
